Vendor Agreement
1. Parties and acceptance
This Vendor Agreement is between CabNero Rentals (“CabNero”) and the vendor/operator who registers (“Vendor”). The Vendor accepts it by ticking the acceptance box at sign-up or by continuing to use the vendor panel. The date, version and IP address of acceptance are recorded.
2. Nature of relationship
CabNero is a technology and booking platform that connects passengers with independent vendors. The Vendor is an independent business. Nothing here creates employment, partnership, agency or joint-venture between CabNero and the Vendor, its drivers or staff. The Vendor provides the transport service and is responsible for it.
3. Eligibility and approval
- The Vendor must be a legally operating person/firm in India with the licences and permits needed to run commercial passenger vehicles.
- Registration is subject to CabNero’s review and approval. CabNero may approve, reject, suspend or limit any account at its discretion where required for safety or compliance.
- All information supplied at sign-up (business name, contact, GST/PAN/MSME where applicable) must be true and kept up to date.
4. Documents and vehicles
- Keep valid at all times: registration certificate, insurance, permit, fitness certificate, pollution certificate, and the driver’s licence. Upload or renew them in the panel before expiry.
- Vehicles must be clean, roadworthy, correctly categorised and match the details listed on CabNero. Commercial/permit conditions for each vehicle are the Vendor’s responsibility.
- CabNero may hide or deactivate a vehicle or driver whose documents are missing, expired or doubtful.
5. Drivers
- The Vendor registers only drivers it has verified, who hold a valid licence for the vehicle type, and who have accepted the Driver Agreement.
- The Vendor is responsible for its drivers’ conduct, training, wages, statutory dues and compliance with traffic and labour laws.
- Driver PINs and app access must not be shared; the Vendor must remove drivers who leave.
6. Bookings, offers and fares
- The Vendor accepts or offers only for trips it can complete. Repeated last-minute cancellations or no-shows may lead to penalties or suspension.
- Charge only the fare and extras agreed on the booking (fare, tolls, parking, state tax, night/waiting charges as shown). No additional charge or payment outside the agreed terms.
- Passenger details are confidential and may be used only for the assigned trip.
7. Commission and fees
- CabNero charges a platform commission on completed bookings at the rate and basis shown in the vendor panel (Pay Commission) or communicated in writing. Rates may be revised with notice in the panel.
- Commission is payable by the due date shown in the panel through the payment methods offered there. Unpaid commission may result in restricted access to new bookings until cleared.
- Taxes (including GST where applicable) are charged as per law and shown on invoices/statements. Each party is responsible for its own tax filings.
- CabNero may adjust refunds, penalties or amounts owed against sums payable to the Vendor.
8. Payments and settlement
Where a passenger pays online, CabNero or its payment partner collects the amount and, after deducting commission, applicable fees and any refunds or adjustments, settles the balance to the Vendor’s registered bank account on the cycle communicated in the panel. Where the passenger pays the Vendor directly, the Vendor must settle commission as per section 8. The bank details provided must belong to the Vendor.
9. Insurance, safety and compliance
- The Vendor must keep valid commercial insurance for vehicles and passengers and comply with the Motor Vehicles Act, permit conditions and all applicable laws.
- In an emergency call 112; report incidents involving a CabNero booking to CabNero without delay.
- Drive only with sober, licensed, rested drivers; no use of the app while driving.
10. Liability and indemnity
The Vendor is responsible for accidents, loss, damage, injury, fines and claims arising from the vehicles and drivers it provides, to the extent caused by the Vendor or its drivers. The Vendor will indemnify CabNero against third-party claims, penalties and losses arising from the Vendor’s breach of this Agreement or law. CabNero’s liability to the Vendor is limited to the commission/fees earned by CabNero on the booking concerned, to the extent permitted by law.
11. Data protection and confidentiality
The Vendor will use passenger and booking data only to perform the trip, keep it secure, and not share, sell or misuse it. See the Privacy Policy. Both parties keep non-public business information of the other confidential.
12. Intellectual property and conduct
CabNero’s name, logo, apps and content remain CabNero’s. The Vendor may not present itself as CabNero or use its marks without written permission, and must not solicit CabNero passengers to bypass the platform for bookings first received through it.
13. Suspension and termination
- Either party may end this Agreement with 15 days’ notice, subject to completing confirmed bookings and clearing dues.
- CabNero may suspend or terminate immediately for false information, fraud, safety risk, serious passenger complaints, expired mandatory documents, non-payment of dues or breach of this Agreement.
- Pending dues, refunds and liabilities survive termination.
14. Changes
CabNero may update this Agreement. Continued use of the vendor panel after the updated date means acceptance; for material changes we will notify in the panel.
15. Governing law and disputes
Indian law governs. The parties will first try to resolve disputes through discussion. Subject to law, courts at Kolhapur, Maharashtra have jurisdiction.
